Terms and Conditions – Design Partner Network

By submitting an application to join the Barringer & West Design Partner Network, you agree to the following terms and conditions:

1. Application and Approval: Membership in the Design Partner Network is by application only and is subject to approval by Barringer & West. We reserve the right to accept or reject any application at our sole discretion, based on product quality, brand alignment, and suitability for the Private Atelier community. Submission of an application does not guarantee acceptance or create any contractual obligation.

2. Dedicated Page: Upon approval, Barringer & West will create a professionally designed dedicated page for your company. This page will include your logo, imagery, company story, map location and contact details as provided and approved by you. You retain ownership of all content you supply, but grant Barringer & West a non-exclusive, royalty-free licence to display, host, and promote it within the platform.

3. Content Responsibility and Edits: You are responsible for ensuring that all information and materials supplied are accurate, up-to-date, and do not infringe any third-party rights. You may request edits, image updates, or content refreshes to your dedicated page at any time. Barringer & West will endeavour to implement reasonable requests promptly.

4. Partnership Benefits: Approved Design Partners receive:

• A dedicated supplier page within the Private Atelier platform
• Opportunities for selective marketing and co-promotion within the Private Atelier community
• Platform hosting, security, and technical support

Verified Private Atelier members have direct access to your contact details (website and email) via the platform.

5. Nature of the Service: The Design Partner Network is a marketing platform that provides exposure and visibility to verified Private Atelier members. No specific results, leads, inquiries, or responses are guaranteed. Participation is for the opportunity to be discovered and contacted by specifiers, not for performance-based outcomes.

6. Annual Partnership Fee: Membership is subject to an annual partnership fee. Current rates and payment terms will be provided upon approval or upon request. Fees support the curation, maintenance, and ongoing development of the network.

7. Termination: Either party may terminate this partnership with 60 days’ written notice.

Upon termination, the dedicated supplier page will be removed or archived. Because the Design Partner Network is a marketing platform that provides exposure and visibility (rather than guaranteed leads or responses), annual fees are generally non-refundable.

However, in exceptional circumstances (such as prolonged technical failure of the platform preventing access to the dedicated page), Barringer & West may, at its sole discretion, consider a pro-rata refund for any prepaid unused portion of the term, less reasonable administrative and setup costs already incurred.

8. Confidentiality Both parties agree to keep confidential any non-public information disclosed during the partnership, including Private Atelier member details and internal platform data.

9. Intellectual Property You retain all rights to your trademarks, logos, and product imagery. Barringer & West retains all rights to the overall platform design, Private Atelier branding, and curation processes.

10. Limitation of Liability Barringer & West will endeavour to maintain the platform with reasonable care. We are not liable for any indirect or consequential loss arising from the use of the Design Partner Network or Private Atelier platform.

11. General These Terms and Conditions are governed by the laws of South Africa. Barringer & West may update these terms from time to time, with notice provided to active Design Partners. Continued participation after such updates constitutes acceptance of the revised terms.
